Terms of Service

1. Scope

1. These Terms apply to all access to and use of the Service.
2. Rules, conditions and notices we post on the Service for particular markets, missions, referrals, promotions or rewards ("Additional Rules") form part of these Terms. If an Additional Rule conflicts with these Terms, the Additional Rule controls for the matter it covers.

2. Definitions

1. "Account" means the record we create to identify you and track your use of the Service.
2. "Market" means a question about a future event or an undetermined fact, with outcomes, a trading period and resolution criteria set by the Company.
3. "Outcome" means a possible result of a Market that you may predict.
4. "Shares" means the in-Service record of your position in a particular Outcome.
5. "Points" means the in-Service units granted free of charge, for example on sign-up and through missions, referrals and promotions, and used to acquire Shares.
6. "Coins" means the in-Service units credited when you claim winnings as Coins, and which may be exchanged for Rewards.
7. "Rewards" means gift cards, codes, coupons, vouchers, goods, services or other items we make available in exchange for Coins.
8. "User Content" means comments, display names, handles, profile images, suggestions and other content you post or submit to the Service.

3. Nature of the Service

1. The Service is a free-to-play prediction game for entertainment purposes. No purchase or payment is necessary to use it, and the Service does not accept money or anything else of value as a wager.
2. Points, Coins and Shares are limited, revocable licenses to use features of the Service. They are not money, currency, electronic funds, cryptocurrency, securities, commodities, financial instruments or property of any kind, and they have no cash value.
3. Points, Coins and Shares cannot be purchased, sold, transferred or redeemed for cash, and we will never refund or buy them back.
4. Prices, probabilities and other information shown on the Service reflect activity within the game only. Nothing on the Service is investment, financial, legal, betting or other advice, or a recommendation to engage in any real-world transaction.
5. Some Market information is derived from third-party sources. Markets on the Service are independent of, and are not endorsed by, any third-party market, league, team, organization or person they reference.

4. Eligibility

1. You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
2. To redeem Rewards, you must be at least 18 years old (or the age of majority where you live, if higher) and meet any residency or other eligibility requirements stated for that Reward.
3. The Service, and any Reward, is void where prohibited or restricted by law. You are responsible for complying with the laws that apply to you.

5. Registration

1. You create an Account by signing in through a third-party provider we support. You must use a provider account that you own and are authorized to use.
2. Each person may hold only one Account unless we expressly permit otherwise.
3. We may refuse registration or close an Account if we reasonably believe that:
   • Information you provided is false, inaccurate or incomplete
   • You are using another person's information or provider account
   • You previously had an Account suspended or terminated
   • You are creating or operating more than one Account
   • You do not meet the eligibility requirements
   • You intend to use the Service for an improper purpose
   • It is otherwise inappropriate for you to use the Service

6. Account Security

1. You are responsible for keeping your Account and sign-in credentials secure, and for all activity under your Account.
2. You may not let anyone else use your Account, and you may not sell, transfer, lend or share it.
3. Notify us promptly through the Contact Us page if you suspect unauthorized use of your Account.
4. If your sign-in provider suspends, changes or deletes your provider account, you may lose access to the Service.

7. Market Terms

1. Each Market shows its question, Outcomes and trading status, and may show its resolution criteria and sources. Market terms may not anticipate every circumstance.
2. You participate in Markets at your own discretion.
3. We may correct typographical errors and other minor mistakes in a Market that do not materially change its resolution. If a material change becomes necessary after a Market opens, we may close, suspend or void that Market.

8. Trading

1. You may use Points to acquire Shares in an Outcome and, while a Market is open, sell Shares back. The number of Points required or returned is determined by our pricing method and changes with activity on the Market.
2. Prices shown may change before your trade is completed. A trade is final once our system records it. If what you see differs from our records, our records control, unless there was an obvious system error.
3. We may set limits on trade size, positions held, number of Markets and other activity, and may set different limits for different users.
4. We may close trading on a Market at the time shown or earlier, for example if the underlying event starts early or the result becomes known. Trades that reach our system after trading closes may not be completed.

9. Resolution

1. We resolve each Market under its resolution criteria, using official announcements, official records, sources specified for the Market, or other information we consider objective and reliable.
2. Where sources conflict or criteria require interpretation, we decide based on the ordinary meaning of the Market at the time it opened and fairness to participants. Our resolution is final, except as described below.
3. We may delay resolution while an official result is disputed, under review or subject to change.
4. If we discover that a Market was resolved incorrectly, we may re-resolve it and adjust Points, Coins, Shares and claimed winnings accordingly.

10. Settlement and Claims

1. When a Market resolves, Shares in the winning Outcome become winnings that you may claim, as Points or Coins, as offered on the Service. Shares in other Outcomes expire with no value.
2. We may correct settlements, balances and claims that were made in error.

11. Cancelled and Voided Markets

1. We may cancel, void or decline to resolve a Market if, for example:
   • The underlying event is cancelled, postponed indefinitely or materially changed
   • The result does not match any Outcome
   • Objective information needed to resolve it is unavailable
   • The Market contains a material error
   • The result was known before trading closed
   • We detect manipulation, abuse or a system malfunction
   • Continuing would conflict with law or the rights of others
2. If we void a Market, we will return the Points used in it or otherwise adjust balances fairly among participants. We are not liable for any Points, Coins or Rewards you might otherwise have earned.

12. Points and Coins

1. We may grant Points or Coins for signing up, completing missions, referring friends, participating in promotions, claiming winnings, or other activity we specify. The amount, conditions, timing and limits are set by us and may change.
2. Points and Coins are tied to your Account. You may not transfer, sell, trade, gift, pledge or otherwise dispose of them, or any Shares, except as the Service expressly allows.
3. Points and Coins earn no interest and do not expire while your Account is in good standing, unless we state otherwise for a particular promotion.
4. We may revoke, adjust or correct Points, Coins and Shares granted in error, granted more than once, obtained in violation of these Terms, or affected by a correction to a Market. If a correction leaves a negative balance, we may deduct it from future grants and restrict your Account until it is resolved.
5. We may modify, rebalance, rename, devalue or discontinue Points, Coins or any feature that uses them at any time.

13. Redeeming Rewards

1. You may exchange Coins for Rewards available on the Service. Points cannot be exchanged for Rewards.
2. The Rewards offered, their Coin cost, quantities, limits and eligibility requirements are shown on the Rewards page and may change at any time before your redemption is submitted.
3. Each Account may redeem at most 1 reward every 30 days, counted on a rolling basis from the date of each redemption. Cancelled redemptions do not count toward this limit. We may change this limit at any time; the current limit is shown on the Rewards page.
4. A redemption is final once submitted, unless we cancel it. Coins are deducted when you submit a redemption and returned if we cancel it.
5. Rewards are fulfilled manually and may take time. Before fulfilling a redemption, we may verify your identity, eligibility and the legitimacy of the Coins used, and may ask you for information or documents. We may hold or cancel a redemption if verification is not completed.

14. Changes to Rewards

1. Rewards are offered at our sole discretion. We may, at any time and for any reason, with or without notice, add, change, substitute, suspend, pause or withdraw any Reward or the Rewards program as a whole, and may increase, decrease or otherwise change the Coin cost of any Reward.
2. We may limit the number of Rewards available overall or per user, and may close redemptions temporarily or permanently.
3. If a Reward becomes unavailable after you have submitted a redemption, we may offer a substitute of similar value, return the Coins used, or resolve it another way we agree with you.
4. Holding Coins does not entitle you to any particular Reward, Reward value or Coin cost. Changes to Rewards are not a breach of these Terms and do not entitle you to compensation.

15. Third-Party Rewards

1. Gift cards, codes, coupons and vouchers issued by third parties are subject to the issuer's own terms, including expiration dates and usage restrictions. We do not guarantee third-party goods or services.
2. Rewards are delivered within the Service or by another method we specify. You are responsible for keeping delivered codes secure. We are not responsible for codes that are lost, shared or used by someone else, and may not replace them.
3. Amazon is not a sponsor of this promotion. Amazon.com Gift Cards are subject to the terms at amazon.com/gc-legal.
4. You are responsible for any taxes associated with Rewards. We may request tax information where required by law, and may withhold a Reward until it is provided.

16. Market Integrity

You may not:

1. Use material non-public information about the subject of a Market
2. Influence, or trade on a Market where you are in a position to influence, the outcome of the underlying event
3. Coordinate with others to manipulate prices or activity
4. Spread false information to influence other users
5. Use multiple Accounts to manipulate Markets, settlements, missions or referrals
6. Exploit bugs, delays or display errors
7. Use bots, scripts or other automated means to use the Service
8. Otherwise undermine the fairness of the Service

17. Prohibited Conduct

You may not:

1. Violate any law or the rights of others
2. Sell, buy, trade or transfer Accounts, Points, Coins, Shares or Rewards, or offer to do so
3. Impersonate any person or entity, or misrepresent your affiliation with anyone
4. Access or attempt to access the Service or its systems without authorization
5. Reverse engineer, decompile or interfere with the Service, or place an unreasonable load on it
6. Scrape, copy or harvest content or data from the Service without our written permission
7. Obtain Points, Coins or referral bonuses through fraud or abuse
8. Send spam or unauthorized advertising
9. Suggest that we sponsor, endorse or are affiliated with you without our permission
10. Interfere with the operation of the Service or other users' enjoyment of it

18. Investigations and Enforcement

1. We may investigate suspected violations of these Terms, including by reviewing Account, device, access, trading, balance and redemption records.
2. If we believe you have violated these Terms, we may, without notice:
   • Warn you
   • Remove or hide User Content
   • Restrict trading, claims, redemptions or other features
   • Void trades, Shares, settlements, Points or Coins
   • Hold or cancel redemptions and require return of Rewards obtained improperly
   • Suspend or terminate your Account
3. We may restrict your Account while an investigation is ongoing, and we do not have to disclose our detection methods.
4. If you believe we made a mistake, you may ask us to review our decision through the Contact Us page within 30 days.

19. User Content

1. You are responsible for your User Content and represent that you have the rights needed to post it.
2. You may not post User Content that:
   • Is defamatory, harassing, threatening or hateful
   • Violates anyone's privacy, publicity or intellectual property rights
   • Promotes violence, crime, self-harm or discrimination
   • Is sexually explicit or inappropriate for minors
   • Is deliberately false or misleading
   • Is spam or unsolicited advertising
   • Discloses non-public information that could affect a Market
3. We may remove or hide User Content at any time for any reason. We are not obligated to monitor User Content.
4. You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, display and distribute it in connection with operating, improving and promoting the Service.

20. Feedback

If you send us bug reports, suggestions or other feedback, we may use it for any purpose without obligation or compensation to you.

21. Intellectual Property

1. The Service, including its software, design, text, graphics, logos and Markets, is owned by BetLark or its licensors and protected by intellectual property laws. You may not copy, modify, distribute or create derivative works from it beyond personal, non-commercial use without our permission.
2. Names of companies, products, teams, leagues, events or people shown on the Service do not imply any affiliation with, or endorsement by, them.

22. Closing Your Account

1. You may stop using the Service and ask us to close your Account at any time through the Contact Us page.
2. When your Account is closed, all Points, Coins and Shares, unclaimed winnings and positions in open Markets are forfeited. Redemptions submitted before closure may still be fulfilled, subject to verification.

23. Suspension and Termination by Us

1. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if you violate these Terms, if we are required to by law, or if we otherwise reasonably believe it is appropriate.
2. If we terminate your Account for a violation, we may cancel your Points, Coins, Shares and pending redemptions.
3. Sections that by their nature should survive termination will survive, including those on Points and Coins, intellectual property, disclaimers, limitation of liability, indemnification and disputes.

24. Changes and Interruptions

1. We may change, suspend or discontinue all or part of the Service at any time, including for maintenance, security, legal or business reasons. We will try to give notice of planned downtime and significant changes, but are not required to.
2. If we discontinue the Service entirely, we will try to give reasonable notice, and may resolve or void open Markets and set a final date for redemptions. Points and Coins not used by that date will be forfeited.

25. Promotions and Third-Party Services

1. Missions, referral programs and other promotions may have Additional Rules and may be changed or ended at any time.
2. The Service may link to or integrate with third-party websites and services. We are not responsible for them, and your dealings with them are solely between you and the third party.

26. Disclaimers

THE SERVICE, INCLUDING ALL MARKETS, POINTS, COINS AND REWARDS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT INFORMATION ON IT IS ACCURATE OR COMPLETE, OR THAT YOU WILL OBTAIN ANY PARTICULAR POINTS, COINS OR REWARDS.

27. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BETLARK AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, POINTS, COINS OR REWARDS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you.

28. Indemnification

You agree to defend, indemnify and hold harmless BetLark and its owners, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising out of your use of the Service, your User Content or your violation of these Terms or the rights of others.

29. Governing Law and Disputes

1. These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules.
2. Before bringing a claim, you agree to contact us through the Contact Us page and try to resolve the dispute informally for at least 30 days.
3. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Utah, and you and we consent to their personal jurisdiction. Either party may bring an individual claim in small claims court where eligible.
4. To the extent permitted by law, you and we each waive any right to bring or participate in a class or representative action relating to the Service or these Terms.

30. Changes to These Terms

1. We may update these Terms from time to time. We will post the updated Terms on the Service and revise the effective date above, and will give additional notice of material changes where required.
2. Your continued use of the Service after the updated Terms take effect means you accept them. If you do not agree, stop using the Service.

31. General

1. These Terms, together with the Privacy Policy and any Additional Rules, are the entire agreement between you and us about the Service.
2. You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition or sale of assets.
3. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
4. We may send you notices through the Service, in-app notifications or other reasonable means.
